UBA, Fidelity Bank Seek Extension to Publish H1 2026 Audited Results

UBA Surpasses CBN Capital Requirement After Raising N157.84bn from Rights Issue

United Bank for Africa Plc (UBA) and Fidelity Bank Plc have notified the Nigerian Exchange Limited (NGX) and investors of potential delays in publishing their audited financial statements for the half-year ended June 30, 2026.

Both banks confirmed that they had obtained approval from the NGX to extend their regulatory filing deadline to September 30, 2026, while awaiting final clearance from the Central Bank of Nigeria (CBN).

Under the NGX Post-Listing Rules, listed companies are required to submit their half-year financial statements within 60 days after the end of the interim period, making August 29 the standard statutory deadline.

However, commercial banks, particularly those with international subsidiaries or plans to declare interim dividends, are required under monetary guidelines to submit audited interim accounts to the CBN for review and approval before releasing them to the public.

In a corporate disclosure dated August 21, 2026, UBA stated that its Board of Directors had approved the bank’s financial statements for the half-year period at a meeting held on August 13.

However, the results have not yet been released to the public pending regulatory clearance.

UBA Group Company Secretary and Legal Counsel, Bili Odum, said the bank requires approval from its primary regulator before releasing the financial statements.

Fidelity Bank also disclosed that its half-year audit is being finalised before submission to the CBN.

According to the bank’s Company Secretary, Ezinwa Unuigboje, the audited financial statements will be submitted to the central bank for approval once the audit process is completed, after which they will be published in line with NGX rules and other applicable regulations.

The filing extension reflects a broader practice within Nigeria’s banking sector, where listed lenders may seek additional time to complete regulatory reviews, capital adequacy assessments and comprehensive balance sheet audits before releasing their financial results.

Both UBA and Fidelity Bank also reminded directors, senior executives and other connected insiders that restrictions on trading in their respective shares remain in effect.

The declared closed periods will remain active until 24 hours after the official publication of the banks’ audited half-year financial statements.
