African Nations Turn to Dangote Refinery Amid Global Fuel Disruptions

Nigeria’s Dangote Petroleum Refinery and Petrochemicals is moving closer to a landmark public offering after submitting an application for an initial public offering (IPO) that could raise as much as $5 billion.

The planned offering, which is targeted for completion in October 2026, could become the largest IPO in African history if the full amount is approved and raised. Nigeria’s Securities and Exchange Commission is reviewing the application, while the final size of the offering remains subject to regulatory approval.

The proposed listing will be on the Nigerian Exchange (NGX) and is expected to give Nigerian investors a broader opportunity to own part of the refinery, which is controlled by Africa’s richest man, Aliko Dangote.

Focus on Nigerian Investors

Dangote Refinery Chief Executive Officer David Bird has said the company intends to make the offering accessible to retail investors.

The strategy represents a significant shift in the ownership structure of one of Africa’s most strategically important energy assets.

Rather than immediately pursuing an overseas listing, the company plans to concentrate on Nigeria. According to Reuters, Dangote Refinery does not currently plan a foreign listing for at least three years while it builds a stronger operating and financial track record.

The decision places the NGX at the centre of Dangote Refinery’s immediate capital-market strategy.

Strong Investor Interest

Investor interest in the refinery has already been substantial.

In July, the company completed a $2.5 billion private placement that valued the refinery at approximately $40 billion. The transaction was reportedly oversubscribed by 3.7 times, indicating strong institutional demand for exposure to the business.

The planned IPO could therefore provide another major source of capital for the refinery’s expansion.

Capacity Expansion

Dangote Refinery currently has a nameplate capacity of approximately 650,000 barrels per day.

The company plans to increase refining capacity to about 1.4 million barrels per day within three years, using a combination of IPO proceeds and debt financing.

If achieved, the expansion would further strengthen the refinery’s position in Africa’s petroleum industry.

The facility has already become an important supplier to Nigeria’s domestic fuel market and is increasingly targeting international markets.

The refinery’s strategic importance has also grown amid disruptions in global energy markets. Reuters reported that it became Europe’s largest jet-fuel supplier during June and July, highlighting its expanding role beyond the Nigerian market.

Possible Pan-African Reach

The proposed Nigerian listing could eventually be followed by access to other African capital markets.

The Johannesburg Stock Exchange (JSE) has confirmed discussions with Dangote Industries concerning a potential secondary listing following the NGX offering.

Such a development could give investors across Africa greater access to the refinery while strengthening links between the continent’s capital markets.

A Landmark for Nigeria

The Dangote Refinery IPO could have implications far beyond the company itself.

A successful $5 billion offering would represent a major test of the depth and capacity of Nigeria’s capital market. It could also encourage other large African companies to consider domestic listings rather than relying primarily on international financial centres.

For Nigerian investors, the offering could provide an opportunity to participate directly in an asset that is increasingly central to the country’s energy security and industrial ambitions.

However, the final size, valuation, timetable and terms of the IPO remain subject to regulatory approval and market conditions.

If completed as planned, the October offering could become a defining moment for Nigeria’s capital market and Africa’s investment landscape.
